Sell a Shopify Store: What You Keep and What Must Transfer

Sell a Shopify store through a broker, a marketplace or a buyer you already know, after checking that the store can transfer and the profit can be proved. Shopify ownership is only one part of the handover. Inventory, payment processing, apps, supplier terms and customer obligations need their own plan.
A store can look tidy in the admin while being awkward to sell. The buyer may get the products and the domain but lose the app discount, the supplier credit or the person who keeps the ads working.
I would settle those questions before paying to list. An account-transfer problem discovered after the buyer agrees a price gives you very little room to negotiate.
What changes your answer: a store using Shopify Capital or Shopify Credit cannot transfer under Shopify's published guidance. A store with weak records needs preparation. An established store whose owner wants help with buyers may fit a broker. A buyer already in your inbox changes the value of paying for buyer discovery.
Sell a Shopify store: choose the route by the work you need done
Choose the selling service first, then compare its cost. A marketplace gives you a place and tools to sell; the amount of human help varies. A broker may handle more of the sale, but you still have to prove the business and help transfer it.
| Route | It may fit when | What remains your job | The condition to resolve |
|---|---|---|---|
| Acquire.com | You can work directly with buyers and want listing support, a data room and closing tools | Records, buyer decisions, negotiations and the business handover | Revenue is required for ecommerce listings; pre-revenue exceptions concern functional SaaS and AI products |
| Empire Flippers | You want a broker to handle buyer communication, negotiation and migration | Supplying evidence, answering diligence questions and completing your transfer tasks | Published screen includes average monthly net profit of at least $2,000 over the last 12 months, 12 months of revenue and at least 3 months of analytics; acceptance is discretionary |
| FE International | You want to compare a self-serve marketplace with a separate advised sale | Marketplace: managing your listing and decisions. Advisory: records and decisions with the adviser | Ask which service is being quoted; marketplace pricing is not an advisory quote |
| Flippa | You want to compare its available selling packages and can match the service to your needs | Whatever the selected package does not expressly include | Get the applicable listing package, success fee, fee base and transfer support in writing |
| A buyer you know | A competitor, supplier, customer or operator has already approached you | Price testing, buyer checks, contract, funds flow and handover | Check whether an existing platform or broker agreement still makes a fee payable |
Provider published terms (dated), checked October 24, 2026: Acquire seller pricing and pre-revenue rules; Empire Flippers seller service and listing requirements; FE marketplace pricing and advisory service; Flippa pricing. These are provider descriptions, not services we have used in a completed sale.
Deal Decision Check: is the broker route open?
Say your store has 18 months of revenue, 12 months of analytics and $3,200 average monthly net profit across the last year. Your requirement is a broker-led sale. Those figures meet the three numerical Empire Flippers screens shown above: supported by the stated evidence. The next step is to ask for its review, with the records behind those figures.
That result means may meet published criteria, not accepted. Restrictions, record quality and buyer fit still matter. At $1,200 average monthly profit, the profit screen does not fit; apply effort to another route or preparation rather than pretending a good-looking store cancels the minimum.
For the broader service and fee comparison, use our marketplace comparison. This page stays with the Shopify-specific money and transfer work.
The seller proceeds bridge: a $200,000 store is not a $200,000 payout
Separate the business price from stock, then subtract the fee and agreed closing costs. State whether the figure means cash after the handover or money that might arrive later. The distinction matters more than the asking price on a listing.
Fictional example in USD. A buyer pays $200,000 for the business and a separately agreed $25,000 for inventory. The whole amount is cash. We assume no debt payoff, no holdback, no earnout and $3,000 of seller legal and accounting costs. The price is an illustration, not a valuation.
| Seller proceeds item | USD | Basis |
|---|---|---|
| Business consideration | $200,000 | User assumption for this fictional sale |
| Separately priced inventory | $25,000 | User assumption; quantity, condition and value must be agreed |
| Gross cash consideration | $225,000 | $200,000 + $25,000 |
| Empire Flippers commission | −$30,000 | 15% × $200,000; separately priced inventory excluded |
| Assumed professional costs | −$3,000 | User assumption, not a provider quote |
| Cash after these costs, when release conditions are met | $192,000 | $225,000 − $30,000 − $3,000 |
| Deferred consideration | $0 | All-cash assumption |
| Taxes and any debt payoff | Not included | Must be assessed separately; neither is assumed to be zero |
The commission uses Empire Flippers' published standard schedule: the greater of $10,000 or the marginal total of 15% on the first $700,000, 8% on the next $4.3 million and 2.5% above $5 million. Its terms exclude separately priced inventory from the fee base. Provider published terms (dated), checked October 24, 2026: terms, including the commission and release provisions and seller fee explanation.
Do not call the $192,000 “cash on signing.” Funds release follows the agreement's migration and release conditions. Ask for a written funds-flow illustration before agreeing a price.
If a buyer replaces $40,000 of the business cash with a seller note, $40,000 is no longer cash in that first release. A seller note is the buyer's promise to pay later. Commission timing, security and collection rights then need their own calculation; do not simply reuse the all-cash net figure.
If the broker route fits your records and you want its help with the sale, the useful next step is a review of your actual business and its net proceeds.

Prove the profit after returns, ads and the work you do
The revenue dashboard is a starting point, not the earnings record. Build a monthly profit-and-loss statement, or P&L, and reconcile it to order, payment and expense records. Payouts can cross month boundaries; a bank deposit alone does not prove that month's profit.
Here is a fictional one-month record, in USD. It is deliberately more useful than a screenshot of sales.
| Claim or cost | Source to request | Reconciled result | Remaining question |
|---|---|---|---|
| Customer sales before refunds and sales tax removal | Shopify sales export and order detail | $30,000 | Does this include canceled or test orders? |
| Refunds | Refund export tied to original orders | −$1,500 | Are later returns included in the appropriate period? |
| Sales tax collected | Tax report and accounting records | −$2,000 | Confirm treatment with the accountant |
| Net revenue | Reconciliation above | $26,500 | Explain any difference from processor records |
| Product cost | Supplier invoices, landed cost and units sold | −$9,000 | Has freight been included consistently? |
| Paid acquisition | Ad invoices and card records | −$6,000 | Does spend include every ad account? |
| Fulfillment and shipping | Warehouse and shipping invoices | −$2,500 | Are returns and storage also included? |
| Payment fees | Processor statements | −$900 | Are chargeback fees separate? |
| Shopify and apps | Platform and app invoices | −$450 | Which discounts will expire or fail to transfer? |
| Paid staff or contractors | Payroll and invoices | −$1,800 | Will they continue with the buyer? |
| Profit before unpaid owner work, debt and tax | Calculation | $5,850 | The owner's work is still a real obligation |
If replacing the owner's work costs another assumed $1,200 a month, cash after that replacement is $4,650 before debt, tax and any other adjustments. Do not subtract a worker twice if their pay is already in the $1,800 line.
I would show both figures. Hiding the owner's work may make the first conversation easier, but it makes the serious conversation harder.
A buyer should also see the full year, month by month. A strong holiday month cannot stand in for ordinary demand. Include product margin, repeat orders, returns, chargebacks, advertising spend and the stock purchases needed to keep selling.
Shopify transfer blockers to check before you list
Shopify permits store ownership transfers, but it does not conduct the sale for you. Its transfer guidance separates the store-owner change from domains, payment details, third-party apps and obligations. Follow the current process with Shopify and your advisers, rather than selling a shared login.
Provider published terms (dated), checked October 24, 2026: Shopify's ownership-transfer guidance.
| Item | Shopify's published position or the question to settle | Evidence of completion |
|---|---|---|
| Store-owner permission | Only the store owner can change or transfer ownership | Confirm the authorized seller controls the owner role |
| Shopify Capital or Shopify Credit | A store using either cannot transfer | Written Shopify guidance for the specific store before promising a transfer |
| Shopify Balance | Empty the Balance account and contact Support for help | Support record and confirmed next steps |
| Shopify Payments business details | Contact Support when connected business information needs changing | Agreed process, responsible person and timing |
| Custom domain | Ownership also needs transferring | Buyer controls registrar access, renewal and recovery |
| Third-party apps | Separate billing may need updating | App-by-app owner, billing, license and data check |
| Outstanding Shopify billing | Unbilled amounts can become the new owner's responsibility | Closing adjustment agreed; no surprise invoice |
| External payment methods | Update or replace the associated account using that provider's process | Buyer can take payment and receive a payout |
Do not assume paying off a balance automatically makes a blocked store transferable. The published page does not give a universal clearance procedure. Get Shopify's answer for your account and preserve it.
For a domain moving between registrars, ask about the sequence before changing registrant details. ICANN describes a possible 60-day inter-registrar lock after a registrant change, with an advance opt-out only where the registrar offers it. That is a registrar-transfer rule, not a claim that all forms of domain handover take 60 days. Provider published terms (dated), checked October 24, 2026: ICANN's explanation.
Inventory, customer promises and supplier terms belong in the deal
Agree what the buyer gets and what the seller remains responsible for. A store with $25,000 of stock and $8,000 of unfulfilled customer obligations is not the same handover as a store with $25,000 of ready-to-sell stock and no backlog.
Create an inventory schedule with SKU, location, quantity, landed cost, condition, age and agreed value. Separate saleable stock from damaged goods, obsolete variants, samples and packaging. Identify goods in transit and deposits already paid to suppliers. State who owns and pays for them at the agreed cutoff.
Then list obligations that can outlive your last day:
- Open orders and delivery promises.
- Returns, warranties and chargebacks from pre-sale orders.
- Gift cards, store credit and prepaid subscriptions.
- Supplier deposits, minimum order quantities and warehouse bills.
- Marketing commitments and contractor agreements.
These are allocation questions for the contract, not reasons to conceal a mess until migration. A buyer can price a disclosed problem. A surprise can stop the deal.
Get a fresh supplier and fulfillment quote in the buyer's situation. The old price may depend on your volume, history, personal guarantee or payment terms. Do not call it transferable because the supplier likes you.
Field Notes: the admin is not the operating system of the business
Research-based. These Shopify notes come from platform guidance and operational analysis, not a claim that I have run or sold a Shopify store. My operating background covers content and affiliate sites, Amazon FBA, KDP, SaaS, iOS subscription apps and YouTube; I have not worked as a broker or sold through the marketplaces covered here.
What the listing emphasizes, and what fills the week
A listing tends to lead with revenue, profit and repeat customers. The work often lives between those numbers: approving creative, dealing with late stock, keeping customer support from becoming a queue, checking ad waste and making sure the next order can ship.
Record a normal week and a difficult week. “Five hours a week” means little if a supplier failure required three days of owner work that never made it into the average. Explain how those exceptions are handled and who can handle them after you leave.
The dependency I would make visible
A store is more fragile when one product, one creative angle and one supplier carry the earnings. Splitting sales across several ad accounts does not remove dependence on the same advertising platform. Counting countries does not remove dependence on the same manufacturer.
Show concentration by product, channel and supplier. Then distinguish an actual second source from a name on a spreadsheet that has never produced a usable sample.
What makes growth believable
“Spend more on ads” is not an operating plan. The buyer needs evidence that contribution profit holds as spend rises, enough stock to meet the demand and enough cash to fund the reorder before the revenue arrives.
Contribution profit means revenue left after the costs that rise with the order, such as product cost, payment fees, fulfillment and attributable advertising. Define your version and keep it consistent. A high gross margin can still leave poor contribution profit.
How AI affects the case you make to a buyer
AI can help draft product copy, sort support requests and produce creative variations. The sale question is whether those uses improved measured economics without removing needed human checks. Show the workflow, expense, review time and error rate you can actually document.
My view: access to the same model everyone else can buy is weak evidence of an advantage. A product people reorder, reliable supply and a customer relationship are easier to explain as business value. AI-generated images or copy also deserve a rights and accuracy check before you promise ownership of the assets.
Do not add back an ongoing AI subscription because the tool is “optional” if the reported workload depends on it. And do not claim AI replaced customer service if the owner still cleans up its mistakes each night.
The handover record to finish before funds move
A handover is complete when the buyer can run the business, not when you have sent a password file. Set the tests and the funds-release process in the agreement with the people managing the transaction.
| Area | Seller supplies | Buyer proves | Question to settle before closing |
|---|---|---|---|
| Shopify | Authorized ownership transfer | Owner access under buyer credentials | Are there platform or funding blockers? |
| Payments | Agreed provider-approved transition | Test order, refund and appropriate payout evidence | Who bears pre-sale chargebacks? |
| Domain and email | Transfer plan and DNS record | Renewal, recovery and business email control | Does a registrar lock change the sequence? |
| Apps and subscriptions | App inventory and billing records | Essential workflows still run | Which licenses or discounts change? |
| Stock and fulfillment | Agreed count and open-order list | Warehouse access and shipping test | Who pays cutoff-period costs? |
| Suppliers | Contact and contract schedule | Written terms or new agreement | Are prices and credit approved? |
| Customer information | Agreed lawful data-transfer process | Necessary access with appropriate controls | What notices, consents or restrictions apply? |
| Support | Runbooks and a bounded assistance period | Buyer completes ordinary tasks | When does seller support end? |
For the broader sequence and contract questions, our ecommerce selling guide covers the business sale around these Shopify tasks.
What I would do next
Start with three documents: the monthly profit reconciliation, the transfer-blocker list and the proceeds bridge. If one is missing, fill that gap before comparing promises about your sale price.
If you have clean records and no unresolved transfer blocker, choose the service that matches the work you need handled. If you do not, the right next action is preparation, even when a platform will let you create a listing today.
Compare the selling services and their responsibilities

How we checked this guide
Deal Field Guide helps you buy or sell an online business with clear eyes — comparing the real routes, showing the money after fees, and telling you what owning each kind of business is actually like, with the source behind every number.
We read the official Shopify, marketplace, broker and ICANN pages linked here on October 24, 2026. Provider published terms (dated) describes what they state; it does not mean we tested a sale or verified an individual business. The scenarios are User assumption calculations. We may use software, including AI, to organize research and drafting, and remain responsible for what we publish. Our methodology explains the evidence labels.
